EN TORNO A LA NOCIÓN DE GRUPO DE SOCIEDADES Y SU DELIMITACIÓN EN EL ÁMBITO ESPAÑOL Y EUROPEO

Abstract

RESUMEN: El ordenamiento español y comunitario carecen de una regulación específica para los grupos de sociedades. Al igual ocurre con la noción de grupo, si bien es cierto que, habitualmente, se reconoce el papel central que cumple la normativa sobre consolidación de cuentas y, en el caso, español, la referencia al art. 42 del Código de comercio. En el trabajo, se analiza críticamente los elementos que componen la noción de grupo, destacando, especialmente, la función esencial que desempeña la dirección unitaria en la determinación de la existencia de un grupo de sociedades.

ABSTRACT:The Spanish legislation and of the European Union they lack a specific regulation for the groups of companies. It happens to the equal one with the group notion, although it is true that, usually, there is recognized the central role that represents the regulation on account consolidation and, in the Spanish case, the article 42 of the Code of commerce. In this article, the author analyses critically the elements that compose the group notion, emphasizing, especially, the essential function that redeems the unitary direction in the determination of the existence of a group of societies.
